You have asked to use certain images ("Materials") in which the Robert Wood Johnson Foundation (the "Foundation") holds ownership or license rights. As a condition to your use of the Materials, you agree to the following:

1. You can use the Materials solely for the purpose(s) stated in your request to use the Materials. Your right to use the Materials is non-exclusive and non-transferable.

2. Your use of the Materials must be accompanied by credit of ownership as specified by the Foundation once your request is approved.

3. In no event may you use the Materials, or any portion thereof, to carry on propaganda or otherwise attempt to influence legislation within the meaning of Section 4945(d) (1) of the Internal Revenue Code; influence the outcome of any specific public election; directly or indirectly carry on any voter registration drive within the meaning of Section 4945(d)(2) of the Internal Revenue Code; or promote or endorse a business.

4. The Materials are provided "as is." The Foundation, its trustees, officers, employees or agents (collectively, the "Foundation Parties") will not be liable to you or any third party for any damages of any kind, whether foreseeable or not, and however caused, arising from or relating to the Materials.

5. You agree to indemnify and hold the Foundation Parties harmless from and against all damages, judgments, liabilities, claims, losses, costs, fees and expenses (including, without limitation, reasonable attorney's fees and expenses and other litigation-related expenses and disbursements) of every kind and description arising, directly or indirectly, from your use of the Materials.

6. These terms and conditions of use are governed by the laws of the State of New Jersey, excluding its conflict of laws principles, and exclusive jurisdiction and venue over any disputes related to the Materials shall be in Middlesex County, New Jersey.
